They are also generally required to submit an annual financial return to their registered agent within nine months after the end of the financial year. The annual financial return is provided to the registered agent and is not filed with the Registry or made publicly available.

BVI legal entities are generally required to submit economic substance information to their registered agent for each relevant financial period. Entities carrying on a relevant activity may also need to satisfy the applicable economic substance requirements, depending on the nature of their activities and their tax residency position.

Missed filings can result in penalties, affect the company’s good standing, and, in serious cases, contribute to strike-off or dissolution. Compliance should therefore be planned as part of the original structure.

Banking and Reputation Require Early Planning

Banking should be considered before incorporation. Financial institutions may review the ownership chain, commercial purpose, expected transactions, source of funds, countries involved, and reasons for using a BVI structure.

FATF does not call for the automatic application of enhanced due diligence to every customer connected with a monitored jurisdiction.
