Why the British Virgin Islands?

Established Corporate Framework

The BVI Business Companies framework provides structures for international ownership, investment, joint ventures, financing, and commercial transactions. The BVI Financial Services Commission's Registry of Corporate Affairs administers the jurisdiction's corporate-registration framework.

Flexible Ownership and Governance

A BVI Business Company may accommodate different ownership arrangements, share classes, shareholder rights, director powers, and governance provisions, subject to its constitutional documents and applicable law.

Holding and Transaction Uses

BVI companies may be used to hold shares in subsidiaries, participate in investments, support acquisitions, establish joint ventures, or create dedicated transaction vehicles. Holding company and SPV describe how a BVI company is used. They are not separate statutory company forms.

International Structuring Options

BVI companies may also be coordinated with trust and succession-planning structures, including VISTA arrangements where appropriate.
